Kyndrify Terms of Service

These Terms of Service ("Terms") govern your use of Kyndrify, a digital twin and AI-generated video service provided by TTGC Inc. ("Kyndrify," "we," "our," or "us"). By creating an account or using the service, you agree to these Terms.

1. Account & Eligibility

You must be at least 18 years old to create an account. You are responsible for the security of your credentials and for all activity under your account. Notify us immediately at security@kyndrify.com if you suspect unauthorized access.

2. Acceptable Use

Your use of Kyndrify must comply with our Acceptable Use Policy. The AUP is incorporated into these Terms by reference. Violations may result in immediate account suspension and termination.

3. Subscription & Billing

Paid plans renew automatically until canceled. Credits granted by a subscription expire at the end of each billing period. Pay-as-you-go credit packs do not expire for 12 months from purchase.

Failed-payment grace period: 14 days. After 14 days of unresolved payment failure, the subscription is canceled and the workspace downgrades to the Free tier. Current credits remain usable until depleted.

We use Stripe as our payment processor. Stripe's Terms of Service also apply to billing transactions.

4. Your Content & Likeness

You retain ownership of all content you upload (photos, voice references) and all renders Kyndrify generates from them. You grant Kyndrify a limited license to store and process this content solely for the purpose of providing the service.

Likeness consent. For each digital twin, you must provide a recorded consent video confirming that the subject (you, or the person you have authorization to represent) consents to use of their likeness in Kyndrify renders. We retain consent recordings for the life of the twin plus seven (7) years after deletion as a legal record.

Agency / delegated consent. If you are creating a twin on behalf of a client, you may use our delegated-consent flow. Kyndrify will email the subject directly to obtain their consent recording. The legal consent record is between the subject and your agency; Kyndrify is the infrastructure provider.

5. AI-Generated Content Disclosure

Every render produced by Kyndrify includes (a) C2PA Content Credentials embedded in the file metadata, (b) an invisible cryptographic watermark, and (c) a visible disclosure that the content is AI-generated. You may not remove, obscure, or tamper with these disclosures. Doing so is grounds for immediate account termination and may result in civil and criminal liability under applicable AI-disclosure laws (including the EU AI Act).

6. Intellectual Property

Kyndrify and its underlying systems are owned by TTGC Inc. and protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from Kyndrify itself.

7. HIPAA Mode (Optional)

Workspaces with HIPAA mode enabled are subject to additional terms in a Business Associate Agreement (BAA). The BAA governs the handling of Protected Health Information (PHI). Without a signed BAA, you must not use Kyndrify to process PHI.

8. Termination

You may delete your account at any time from the billing settings. We may suspend or terminate your account for violation of these Terms or our AUP. Upon termination, your twins and renders are soft- deleted for 30 days, after which they are permanently purged.

9. Disclaimers & Limitation of Liability

Kyndrify is provided "as is." We disclaim all implied warranties to the maximum extent permitted by law. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of [TBD], without regard to conflict-of-laws principles. Any disputes are subject to binding arbitration in [TBD].

11. Changes to Terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via email. Continued use of Kyndrify after changes take effect constitutes acceptance.
